Remat is a technology platform that enables contractors, developers, suppliers, and buyers to list, discover, and transact surplus or unused construction materials (the "Platform").

Remat does not manufacture, own, store, or take possession of materials listed on the Platform unless explicitly stated.

By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

2. Platform Role & Disclaimer

Remat:

• Is not a contractor, supplier, broker, agent, or logistics provider
• Does not represent buyers or sellers
• Is not a party to any transaction between users
• Does not verify material quality, legality, ownership, or condition
• Does not guarantee pricing, availability, or delivery

All transactions occur directly between users unless otherwise explicitly stated.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have legal authority to buy or sell materials
• Provide accurate and truthful information
• Use the Platform in compliance with applicable laws

4. User Accounts

• You are responsible for all activity under your account
• You may not share, transfer, or create multiple accounts
• Remat may suspend or terminate accounts at its discretion

5. Listings & Material Ownership

By posting a listing, you represent and warrant that:

• You own or are authorized to sell the materials
• Materials are free of liens, disputes, or claims
• All information (quantity, condition, specifications, pricing) is accurate
• Materials comply with applicable safety and legal standards

Remat does not verify listings and may remove content at any time.

6. Pricing, Payments & Fees

• Sellers determine pricing of materials
• Remat may add a service margin, commission, or fee
• Fees may be charged to buyers, sellers, or both
• All applicable fees will be disclosed prior to completion of a transaction

Payments are handled directly between users unless otherwise specified.

7. Logistics & Delivery

If logistics or delivery is arranged:

• Remat acts solely as a coordinator
• Third-party providers may be used
• Responsibility for transport, handling, and delivery lies with the parties involved

Remat is not responsible for:

• Delays
• Damage in transit
• Storage or handling issues

8. Inspection, Risk & Acceptance

Buyers are solely responsible for:

• Inspecting materials prior to purchase
• Verifying suitability for intended use

All materials are sold "AS-IS, WHERE-IS". No warranties, guarantees, or representations are provided by Remat.

Risk transfers as agreed between buyer and seller.

9. Returns & Refunds

• All transactions are final unless otherwise agreed between users
• Remat does not provide refunds, guarantees, or buyer protection

10. Disputes Between Users

• All disputes must be resolved directly between buyer and seller
• Remat may assist at its discretion but has no obligation

11. Prohibited Materials

Users may not list or sell:

• Stolen or unauthorized materials
• Hazardous materials without proper disclosure
• Illegal or restricted goods
• Materials that violate safety or environmental laws

12. Prohibited Conduct

Users may not:

• Post false or misleading listings
• Misrepresent materials or ownership
• Circumvent platform fees
• Interfere with transactions
• Use the Platform for unlawful activity

13. Data & Analytics

Remat may collect and use data related to platform activity, including:

• Transaction data
• Listing performance
• Usage patterns

Data may be used in anonymized form for analytics, pricing insights, and platform improvement.

14. Intellectual Property

All Platform content, branding, and technology are owned by Remat. Users may not copy, reproduce, or distribute platform content without permission.

15. Indemnification

You agree to indemnify and hold Remat, its affiliates, and representatives harmless from any claims, damages, losses, or liabilities arising from:

• Your use of the Platform
• Your listings or transactions
• Violations of these Terms or applicable laws

16. Limitation of Liability

To the maximum extent permitted by law, Remat is not liable for:

• Material defects or quality issues
• Transaction disputes
• Delivery failures or damages
• Financial losses
• Personal injury or property damage

Use of the Platform is at your own risk.

17. Force Majeure

Remat is not responsible for delays or failures caused by events beyond its control, including:

• Natural disasters
• Supply chain disruptions
• Labor shortages
• Government actions

18. Termination

Remat may suspend or terminate access at any time for:

• Violations of these Terms
• Risk to the Platform or users

19. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

20. Changes to Terms

Remat may modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
